This Acceptable Use Policy (the "Policy") governs the use of the services provided by Clipping Capital ("Clipping Capital," "we," "us," or "our") through our website at clipping.capital and through our managed short-form content distribution campaigns. Clipping Capital is a performance-based clipping agency: clients supply source footage, our managed network of independent creators ("clippers") edits that footage into short-form videos, and those videos are distributed across TikTok, Instagram Reels, YouTube Shorts, and X. Clients are billed based on verified views. By engaging our services, submitting source content, or otherwise participating in our network, you agree to comply with this Policy.
Purpose and Scope
The purpose of this Policy is to define the content and conduct that are permitted and prohibited in connection with Clipping Capital's services. This Policy applies to:
- Our clients, including brands, founders, public figures, podcasts, institutions, and political and enterprise clients;
- The source footage and other materials that clients submit to us for editing and distribution; and
- The clippers within our managed network who edit and distribute that content on our clients' behalf.
This Policy supplements, and does not replace, any master services agreement, statement of work, or other contract between you and Clipping Capital. Where a specific contract term conflicts with this Policy, the more restrictive requirement applies.
Prohibited Content
You may not submit, create, distribute, or promote any content through our services that:
- Is unlawful, or that violates any applicable law, regulation, or court order;
- Infringes or misappropriates the intellectual property rights of any third party, including copyrights, trademarks, rights of publicity, or trade secrets, or that you do not have the necessary rights and licenses to use and distribute;
- Violates the privacy or data protection rights of any individual, including the unauthorized use of a person's likeness, voice, or personal information;
- Is defamatory, libelous, or that makes false statements of fact that damage the reputation of any person or organization;
- Is hateful, discriminatory, or harassing, including content that attacks or demeans a person or group on the basis of race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, age, or other protected characteristic;
- Is sexually explicit, pornographic, or that sexualizes minors in any way;
- Promotes, glorifies, or incites violence, terrorism, self-harm, suicide, or dangerous activities; or
- Is deceptive or fraudulent, including scams, phishing, false advertising, or misrepresentation of a product, service, endorsement, or affiliation.
Additional requirements apply to political and public-figure clients. Content produced for or about political campaigns, candidates, ballot measures, or public officials must be lawful, truthful, and properly disclosed where disclosure is required by law or platform rules. You may not submit or distribute content that is knowingly false or that is intended to deceive voters or the public, including fabricated statements, manipulated media presented as genuine, or misinformation about voting, elections, or civic processes. Paid political and issue advertising must comply with all applicable election, campaign finance, and disclosure requirements.
Prohibited Conduct
Clipping Capital's model is built on genuine, verified views. We do not engage in, and we prohibit, any form of fake or bot-driven engagement. In connection with our services, you and any party acting on your behalf may not:
- Purchase, sell, generate, or otherwise obtain fake or artificial views, likes, followers, comments, shares, or other engagement;
- Use bots, scripts, automation, click farms, or other tools or services to inflate, simulate, or otherwise manipulate metrics;
- Artificially manipulate platform algorithms, ranking systems, recommendation systems, or view reporting;
- Impersonate any person, brand, or organization, or misrepresent your identity or affiliation;
- Distribute spam, or engage in coordinated inauthentic behavior; or
- Attempt to circumvent, disable, or interfere with the rules, security measures, or enforcement systems of any platform on which content is distributed.
Our billing is based on verified views generated through authentic distribution. Any attempt to inflate or falsify view counts undermines that model and is a material violation of this Policy.
Platform Compliance
All content and activity carried out through our services must comply with the terms of service, advertising policies, and community guidelines of each platform on which content is distributed, including TikTok, Instagram, YouTube, and X. Platform rules are set and enforced by the platforms themselves and may change at any time. You are responsible for ensuring that the content you submit is suitable for distribution under the applicable platform rules, and we may decline to distribute content that we reasonably believe would violate them.
Client Warranties
By submitting source content to Clipping Capital, you represent and warrant that:
- You own or have secured all rights, licenses, consents, and permissions necessary to use, edit, adapt, and distribute the content across all platforms contemplated by our services;
- The content, and its distribution, does not and will not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party;
- The content complies with this Policy and with all applicable laws and platform rules; and
- All factual claims within the content are accurate and not misleading, and you have obtained any consents, disclosures, or approvals required for its distribution.
Consequences of Violation
We take violations of this Policy seriously. If we determine, in our reasonable discretion, that content or conduct violates this Policy, we may take one or more of the following actions without prior notice:
- Remove, reject, or cease distribution of the affected content;
- Suspend or terminate an active campaign, an individual clipper's participation, or the client relationship;
- Withhold payment or reporting associated with content generated in violation of this Policy; and
- Cooperate with lawful requests from platforms, law enforcement, and regulatory authorities, and disclose information as required by law or to protect our rights, our clients, or the public.
Nothing in this Policy limits any other rights or remedies available to Clipping Capital under contract or applicable law.
Reporting Abuse or Violations
If you become aware of content or conduct that may violate this Policy, please report it promptly to us at contact@clipping.capital. Please include enough detail to allow us to identify and review the content, such as links, account names, and a description of the concern. We review reports we receive and take appropriate action.
Changes to This Policy
We may update this Policy from time to time to reflect changes in our services, platform requirements, or applicable law. When we make changes, we will revise the effective date above. Your continued use of our services after an updated Policy takes effect constitutes your acceptance of the revised terms. We encourage you to review this Policy periodically.
