These Terms of Service (the "Terms") govern your access to and use of the website located at clipping.capital (the "Website") and the services offered by Clipping Capital ("Clipping Capital," "we," "us," or "our"). Please read these Terms carefully. By accessing the Website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Website, booking a strategy call, or entering into a campaign engagement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies referenced in them, including our Acceptable Use Policy. If you do not agree with these Terms, you must not access the Website or use our services. These Terms apply in addition to, and are supplemented by, the specific campaign agreement or statement of work that governs any paid campaign.
2. Description of Services
Clipping Capital is a performance-based short-form content distribution agency. Clients provide source footage, and our managed network of independent creators ("clippers") edits that footage into short-form videos and posts them across TikTok, Instagram Reels, YouTube Shorts, and X. Managed clipping campaigns start at $15,000. As part of our services, we provide reporting on verified views and other campaign metrics. The specific scope, deliverables, timeline, and pricing of any campaign are set out in a separate campaign agreement or statement of work.
3. Eligibility
Our services are offered to business clients only and are not directed to consumers or to individuals acting outside the scope of a business, trade, or profession. By engaging us, you represent and warrant that you are at least the age of majority in your jurisdiction and that you have the full authority to enter into these Terms and any related campaign agreement on behalf of the business or entity you represent. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
4. Bookings, Strategy Calls, and Formation of an Engagement
The Website may allow you to book a strategy call or submit an inquiry so that we can assess whether our services are a good fit for your objectives. Booking a call or submitting an inquiry does not create a binding engagement and does not obligate either party to proceed. A paid engagement is formed only when both parties execute a separate campaign agreement or statement of work that describes the specific services, fees, and terms applicable to that campaign. In the event of a conflict between these Terms and a signed campaign agreement, the campaign agreement controls with respect to that campaign.
5. Client Responsibilities and Warranties
You are responsible for the source content you provide to us. By submitting source content for a campaign, you represent and warrant that:
- You own or have secured all rights, licenses, consents, and permissions necessary for us and our clippers to edit, reproduce, adapt, and distribute the source content as contemplated by the campaign.
- You hold all necessary rights and releases for any individuals, performances, voices, or likenesses appearing in the source content, and for any music, trademarks, logos, artwork, or other third-party material contained in it.
- The source content, and its distribution across the relevant platforms, complies with all applicable laws and regulations and with the terms, policies, and community guidelines of each platform.
- The source content is not defamatory, deceptive, infringing, or otherwise unlawful, and does not violate the rights of any third party.
Your use of our services is further governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use our services to distribute content that violates that policy.
6. Content Licenses and Intellectual Property
You retain all ownership of your source content. You grant Clipping Capital and its clippers a limited, non-exclusive, worldwide, royalty-free license to access, edit, reproduce, adapt, publish, and distribute your source content, and derivative short-form videos created from it, solely for the purpose of performing and reporting on the applicable campaign. This license continues for the duration of the campaign and for a reasonable period afterward as necessary to maintain, report on, or remove distributed content.
Clipping Capital retains all rights, title, and interest in and to its own methods, workflows, know-how, tooling, software, templates, analytics systems, and reports, including any improvements to them. Nothing in these Terms transfers ownership of our proprietary materials to you. The Website and its contents, other than your source content, are owned by or licensed to Clipping Capital and are protected by applicable intellectual property laws.
7. Fees, Billing, and Payment
Managed campaigns start at $15,000, and specific fees are set out in the applicable campaign agreement. Billing is generally based on verified views delivered during the campaign, subject to any minimums, caps, rates, or fixed components stated in the campaign agreement. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. Fees are exclusive of any applicable taxes, which are your responsibility. Late or unpaid amounts may result in suspension of services and may accrue interest or costs to the extent permitted by law and set out in the applicable campaign agreement. Except as expressly stated in a campaign agreement, fees are non-refundable once the corresponding services have been performed.
8. Verified Views, Reporting, and No Guarantee of Results
Verified views and other performance metrics are measured using data made available by the relevant platforms and are reported through our campaign reporting. Platform data may be estimated, delayed, adjusted, or restated by the platforms themselves, and we rely on that data in good faith. You acknowledge that we do not control how platforms count, attribute, or report views.
Except for the services and reporting we actually deliver, Clipping Capital does not guarantee any specific view count, engagement level, follower growth, revenue, ranking, virality, or business outcome. Any examples, projections, or past results are illustrative only and are not a promise of future performance. Results depend on many factors outside our control, including the quality of the source content, audience response, and platform behavior.
9. Third-Party Platforms
Campaigns are distributed on third-party platforms, including TikTok, Instagram, YouTube, and X. Your content and our services are subject to the terms, policies, community guidelines, and technical requirements of those platforms, which may change at any time and over which Clipping Capital has no control. Platforms may remove content, restrict distribution, suspend accounts, or alter their measurement and features without notice. We are not responsible for the acts, omissions, availability, or decisions of any third-party platform, and platform actions do not constitute a breach of these Terms by us.
10. Confidentiality
Each party may receive confidential information from the other, including source content, campaign strategies, pricing, reporting, methods, and business information. Each party agrees to keep the other party's confidential information confidential, to use it only for purposes of the engagement, and to protect it with reasonable care. Confidential information does not include information that is publicly available through no fault of the receiving party, was already known to the receiving party without a duty of confidentiality, or is independently developed. A party may disclose confidential information where required by law, provided it gives reasonable notice where permitted.
11. Term and Termination
These Terms apply while you access the Website or have an active engagement with us. The duration of any campaign is governed by the applicable campaign agreement. Either party may terminate an engagement as provided in that agreement, and we may suspend or terminate your access to the Website or services if you breach these Terms, our Acceptable Use Policy, or a campaign agreement, or if we are required to do so by law or platform policy. On termination, you remain responsible for fees accrued for services performed up to the effective date of termination. Provisions that by their nature should survive termination, including sections on intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will survive.
12. Disclaimers of Warranties
The Website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Clipping Capital disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Website or services will be uninterrupted, error-free, or secure, or that any particular result will be achieved. No advice or information obtained from us creates any warranty not expressly stated in these Terms or in a campaign agreement.
13. Limitation of Liability
To the fullest extent permitted by law, Clipping Capital and its officers, employees, contractors, and clippers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms, the Website, or any campaign, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to a campaign will not exceed the total fees actually paid by you to Clipping Capital for that campaign in the three months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Clipping Capital and its officers, employees, contractors, and clippers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your source content, your breach of these Terms or the Acceptable Use Policy, your violation of any law or third-party right, or your instructions regarding a campaign. This includes claims that your source content or its distribution infringes or misappropriates the intellectual property, privacy, publicity, or other rights of any third party.
15. Governing Law and Dispute Resolution
These Terms and any campaign are governed by the laws and subject to the dispute resolution process stated in the applicable campaign agreement, without regard to conflict-of-law principles. The parties agree to first attempt to resolve any dispute in good faith through direct negotiation. If a dispute cannot be resolved informally, it will be resolved in accordance with the governing law and the forum, venue, or arbitration provisions set out in the applicable campaign agreement. Where no campaign agreement applies, the parties will resolve disputes in the jurisdiction in which Clipping Capital is established, to the extent permitted by law.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, technology, law, or business practices. When we do, we will revise the effective date at the top of these Terms and post the updated version on the Website. Your continued access to the Website or use of our services after an update takes effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Website and services.
